A Tax Paralegal, working in conjunction with the Tax Attorneys and Corporate Paralegals, helps to manage and organize the materials and information relating to the tax aspects of particular matters and transactions. These duties allow them the opportunity to work with and assist our legal staff with pre-closing, closing and post-closing tasks. The projects typically involve clerical duties and basic tax filing, form preparation and file organization tasks.


  • Assist with all tax closing matters, attend to closing materials such as preparation and organization of documents and preparation of forms and signature packets, preparation and organization of materials for shipment
  • In preparation for a closing, completes and files Form SS-4s to apply for Employer Identification Numbers from the IRS, prepare tax forms (including 83(b) elections and FIRPTA certificates)
  • Keep track of all relevant documents and signature pages for the Tax Attorneys
  • Tax Exemption Filings, assist in pre-screening applications and preparing submissions for tax exempt status
  • General Tax Housekeeping, e.g. maintenance 83(b) filing records, working with graphics department on updates to structure charts
  • Prepares tax closing book index and assembles closing book, and assists in distribution
  • Proofread, duplicate and scan documents to PDF and save to iManage
  • Conduct research on the internet, utilize Excel and other databases
  • Perform clerical tasks as needed, e.g. make copies, create folder labels, prepare packages, write generic cover memos, etc
  • Commitment to work overtime as needed, which may be heavy at times, and may include weekends or holidays with potential to be for extended periods of time

BASIC QUALIFICATIONS (Must be specifically listed on resume in order to be considered for this position):

  • Bachelor’s Degree required
  • 2+ years of Tax or Corporate Paralegal experience required


  • Paralegal certificate preferred
  • Experience in one or more areas including Tax, M&A, private equity, debt finance, fund formation, investment management and/or venture capital
  • Excellent analytical and organizational abilities
  • Solid communication skills
  • Strong computer abilities
  • Creative and likes to take initiative
  • Flexibility for overtime is preferred
