Morrison & Foerster LLP, an Am Law 50 law firm with 17 offices worldwide, has an opening for a Paralegal (Financial Transactions) within our Finance Group in our San Francisco office.

The Opportunity

We have a rare opportunity for an experienced Paralegal (approximately two to five years' experience level) to join our Financial Transactions Group in our head office in downtown San Francisco.

ESSENTIAL FUNCTIONS

Guided by department objectives and priorities, under general supervision the paralegal provides organizational and substantive support to attorneys and other paralegals within the practice group. Assignments may extend into other practice areas. Ensures client service and satisfaction are attained in all areas of position.

Paralegal Responsibilities

  1. Develop practice-specific knowledge, skills, and experience to manage projects and determine appropriate course of action; maintain proficiency in technology relevant to the position.
  2. Complete assignments following well-defined procedures; apply accrued knowledge and skills to manage general tasks independently.
  3. Develop research skills to identify and organize information and verify accuracy and completeness of information.
  4. Leverage resources to ensure highest quality of work product and to increase efficiency.
  5. Effectively organize and manage assignments to complete competing tasks within a timely manner.
  6. Organize and maintain files and databases relevant to practice group.
  7. Develop analytical skills to identify issues and effectively make decisions; resolve issues of limited scope and complexity exercising good judgment.
  8. Comply with administrative requirements to meet billable expectations; prepare and release timenotes on a daily basis; prepare and submit timecards on a weekly basis.

Specific Duties (Financial Transactions Group)

  1. Assist in all phases of closings of general financings, public offerings, acquisitions and mergers, and other corporate transactions.
  2. Review, prepare and file UCC financing statements.
  3. Draft closing certificates and closing checklists, coordinate lien review.
  4. Attend closing transactions and assist with document organization; prepare and distribute bound volumes of closing documents.
  5. Assist with formation of corporations and ensure that all requirements are met for successful ongoing operations of corporations.
  6. Proofread and redline documents.
  7. Conduct research and perform library and online searches.
  8. May assist with preparation of response to auditor letters.

QUALIFICATIONS

Education and Experience

  1. Bachelor's Degree preferred.
  2. Two to five years relevant experience in practice area (Financial Transactions) or comparable work experience preferred.

  2. Strong sense of accountability and taking ownership over projects.
  3. High level of accuracy and attention to detail in preparing work product.
  4. Ability to work concurrently on a variety of projects; flexibility in shifting focus.
  5. Excellent writing and communication skills.
  6. Flexibility to work overtime as needed to meet business and client needs.
