Position Overview
Under the direction of attorneys, this position will assist with providing legal services in the area of commercial lending, finance, corporate trust, and commercial transactions.

Responsibilities

  • Prepares and publicly files financing statements for corporations, general and limited partnerships and limited liability companies.
  • Obtains good standing certificates, certified documents and Uniform Commercial Code (UCC) searches from state agencies or outside service companies.
  • Conducts due diligence.
  • Prepares and maintains closing checklists for each matter.
  • Prepares closing documents and certificates for transaction closings and coordinates execution of same.
  • Prepares post-transaction closing binders.
  • Creates, composes, and edits written material such as ancillary transaction documents, correspondence and/or legal documentation.
  • Performs limited legal research.
  • Performs electronic research using the Internet.
  • Corresponds with clients and organizations, in writing, by telephone or electronic communications, as directed by the supervising attorney.
  • Enters time and descriptions into DTE and release it on a daily basis.
Requirements or Qualifications: 
•Demonstrated skills in Microsoft Office programs. •Proven ability to handle all support aspects of a commercial transaction including UCC research and filings, due diligence, document drafting, and closing/post-closing procedures. •Ability to handle numerous tasks simultaneously and maintain organized files for voluminous transactions. •Proven analytical and organizational skills and ability to pay very close attention to detail in an efficient manner. •Ability to organize data, both hardcopy and electronic, for easy filing and retrievability. •Ability to deal professionally and communicate clearly and concisely both verbally and in writing with internal and external clients on all levels. •Proven ability to problem solve, think independently and tackle projects with minimal supervision while maintaining timely and efficient organization. •This position is in a critical needs area and, at times, may need to arrive early, stay late or work weekends with little or no notice. •Requires the ability to regularly report to work on the days and times scheduled. •Ability to maintain confidentiality. •Ability to be flexible, handle pressure and adapt to changing work priorities, work flow and work assignments. Physical Demands Ability to work in a typical office environment and lift up to 25 lbs. Education/Experience/Certifications- •Bachelor's Degree and/or Paralegal Certificate. •Minimum of five (5) years previous experience in commercial lending and transactions at a law firm. •Notary Public license preferring, but not essential.
