Business Need / Purpose of Role:
Responsible for assisting Group General Counsel – Americas in the administration and coordination of the legal, contract and regulatory compliance for all North and South America Weir Group businesses. Additionally, the position will research law, investigate facts, and prepare and maintain legal documents such as contracts, corporate governance, initial and amended articles of incorporation, and other legal agreements for review, approval and use by Group lawyers.


Objectives & Measurement:
Key Responsibilities and Specific Accountabilities:
Including but not limited to:
  • Prepare and review commercial agreements, including recommending changes that may improve existing forms, speed turnaround and/or facilitate negotiation in the future.
  • Manage commercial agreements, including renewal options, amendments and expirations.
  • Maintain contract, corporate governance and other regulatory compliance files, including organizing and index each file and developing and updating contract tracking spreadsheets or database.
  • Prepare and maintain minute books to assist in the preparation of minutes and resolutions for all Group companies in US, Canada, Mexico and South America.
  • Coordinate contract compliance by Group companies, and suppliers, vendors, customers and others.
  • Prepare and maintain corporate privacy, information security, conflict of interest and other policies in coordination with various departments.
  • Assist in the management of compliance with contractual provisions.
  • Setting up and maintaining filing systems for legal documents.
  • Assist with the management of litigation, interactions with regulatory and legislative authorities, and outside counsel, including coordinating document production and preparing correspondence.
  • Assist in the preparation and administration of the budget for all legal expenditures and activities.
  • Perform legal and other research as needed.


Supervisory Responsibilities:
This position has no direct reports.


Job Knowledge / Education and Qualifications

EDUCATION/EXPERIENCE:
Bachelor's degree with two to five years related experience and/or training; or equivalent combination of education and experience.

LANGUAGE:
Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.


MATHEMATICAL SKILLS:
Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals. Ability to compute rate, ratio, and percent and to draw and interpret bar graphs.

REASONING ABILITY:
Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.

COMPUTER SKILLS:
The incumbent should have knowledge of the following software:
Spreadsheet, Word Processing.

CERTIFICATES, LICENSES, REGISTRATIONS, SPECIAL SKILLS:
Legal Assistant or Paralegal Certification preferred: (NALA, NFPA, etc)

PHYSICAL REQUIREMENTS:
The employee must occasionally lift and/or move up to 15 pounds.

WORK ENVIRONMENT:
Moderate (examples: business office with computers, printers, light traffic)
