will provide an overview of types of business entities and will offer
suggestions for determining the form of new entities and discussion of the
basics of corporate formalities and SEC reporting requirements for publicly
traded companies. The program will examine acquisitions and divestitures
with particular attention to due diligence, tips for smooth closings, and
preparing for transition. There will also be discussion as to how a
well-executed document retention program can enhance due diligence efforts,
and how the deal team can encourage efficient management of discontinued
operations. The last day will offer a look at the future of business
processes and legal process outsourcing. There will also be a panel
discussion on software licensing, and tips to build positive relationships
with in-house counsel and paralegals.

Angela Hooper practices in the areas of mergers &
acquisitions, outsourcing and software licensing as in-house counsel for
The Williams Companies. She has been involved in the acquisition or
divestiture of assets totaling approximately $3 billion, including the
sale of the Texas Gas Pipeline for $1.05 billion in 2002 and the The
Williams Companies' Alaska refinery and related assets for approximately
$300 |
| million in 2003. She was formerly with the
prestigious Oklahoma law firm of Doerner, Saunders, Daniel & Anderson.
She has experience as a presenter for Lorman Educational Services and
remains a contributing author to the Oklahoma Employment Law Letter. Her
JD is from Southern Methodist University’s Dedman School of Law. |
